1. General provisions

1. This document (hereinafter, the “Terms”) governs relations between LIMITED LIABILITY COMPANY “DUNGER” (hereinafter, the “Seller”, the “Company”), registered at 35321, Rivne region, Rivne district, Nova Liubomyrka village, Promyslova Street, 6, USREOU (EDRPOU) 42637594 (full details — in Section 20), and any natural or legal person visiting the website https://dunger.ua (hereinafter, the “Website”) and/or placing an order (hereinafter, the “User”, the “Buyer”).
2. The Terms consist of two interrelated parts: A) rules for using the Website; B) the public offer to conclude a contract for the sale of goods presented in the on-site catalogue (where online ordering is available).
3. Pursuant to Articles 633, 641, and 642 of the Civil Code of Ukraine, as well as the Law of Ukraine “On Electronic Commerce”, full and unconditional acceptance of the offer (acceptance) is performed by placing and confirming an order on the Website in the manner provided on the Website.
4. By placing an order, the Buyer confirms that they have read and agree to the Terms and the Privacy Policy (current URL as published on the Website).
5. The Seller reserves the right to update the Terms. The new version takes effect upon publication on the Website, unless a different effective date is set separately; for orders placed before the changes, the Terms effective at the time of order placement apply.

2. Terms and definitions

Website

the web pages, content, and software modules made available under the domain dunger.ua.

Goods

mineral and organo-mineral fertilisers, related products and associated materials offered for purchase through the Website.

Order

a duly submitted Buyer request to purchase the Goods.

Personal account

the User account on the Website (if such functionality is provided).

Content

texts, images, video, logos, databases, design, code, navigation structure, and similar materials.

3. Website functions and informational nature of materials

1. The Website is intended to:

- share information about the Company, Goods, industry materials, and news;

- enable communication with the Company (forms, chat, contact channels);

- place orders and related actions (where such functionality is available).

1. Recommendations on fertiliser use, agronomic notes, statistics, and illustrative examples on the Website and in the blog do not constitute individual professional advice and may require clarification regarding soils, climate, crop, application rates, and local regulations. Use of the Goods must comply with the applicable laws of Ukraine, the label/passport/instructions, and the manufacturer’s recommendations.
2. External links (if any) lead to third-party resources; the Company does not control their content and is not responsible for the accuracy of materials on third-party websites.

4. Account, registration, and security

1. Certain Website features may require account registration. The User undertakes to provide accurate information and keep access credentials confidential.
2. The Company may block or restrict access to the Website or a personal account if there is a reasonable suspicion of breach of the Terms and/or the law, abuse, fraud, unauthorised automated data collection, etc.

5. Intellectual property

1. All intellectual property on the Website (including the DÜNGER / DUNGER identifiers, logos, brand style, and Content) belongs to the Company or is used on a lawful basis.
2. Copying, reproduction, public display, distribution, modification, or database extraction of the Website without the Company’s written consent is prohibited, except where expressly permitted by law.

6. User conduct rules

The following is prohibited:

• disrupting the Website, using unauthorised automated data collection (scraping), or overloading infrastructure;
• distributing malicious code, spam, or false information;
• using the Website for unlawful purposes.

7. Orders, offer acceptance, and confirmation

1. Information about the Goods (description, images, specifications, price) does not by itself constitute a public offer as catalogue display; the offer is the procedure set out in these Terms, and acceptance is payment and/or order confirmation, depending on the scenario selected on the Website.
2. The Buyer is responsible for the accuracy of delivery data, phone numbers, payment/billing details, and tax-related information (for legal entities and private entrepreneurs).
3. The Seller may refuse to fulfil an order or adjust it in part (with notice to the Buyer) if Goods are unavailable, there is a technical error in price or description, fraud is suspected, or force majeure occurs — within the limits of the law.

8. Price, taxes, and payments

1. Prices are shown on the Website in Ukrainian hryvnia (unless stated otherwise), including indication of applicable taxes (where relevant) as displayed at checkout; B2B transactions may be governed by separate arrangements, contracts, and invoices.
2. Available payment methods are indicated on the Website during checkout.
3. The Seller may change prices; for confirmed orders, the price at the time of acceptance (confirmation) applies unless otherwise expressly agreed in addenda.

9. Delivery, transfer of risk, acceptance

1. Delivery terms, timelines, cost, coverage area, and weight limits are determined by the information on the Website and/or by a manager after the order is placed.
2. The risk of accidental loss or damage to the Goods passes to the Buyer at the moment provided by the agreement, carrier rules, or actual handover — depending on the terms agreed between the parties.
3. The Buyer undertakes to check quantity, packaging, and external condition upon receipt; claims related to carriage damage must be filed within the time limits set by the carrier and these Terms.

10. Quality of goods and compliance with legal requirements

1. Goods produced by the Company and sold in Ukraine must meet the requirements of applicable Ukrainian law governing the circulation of fertilisers and related products, as well as labelling and accompanying documentation.
2. The Buyer undertakes to use the Goods in accordance with the manufacturer’s instructions and safety, storage, and transport requirements.

11. Quality claims (non-conforming Goods)

1. If defects are found, the description is inaccurate, or delivery terms are breached, the Buyer may contact the Company via the channels indicated on the Website, providing a problem description and evidence (photos, videos, carrier documents, order number).
2. Review timelines and resolution mechanisms (replacement, refund, etc.) are determined with regard to the Law of Ukraine “On Consumer Protection”, where applicable, and the nature of the breach.

12. Returns and exchanges (Goods of proper quality)

1. The Buyer’s right to exchange or return Goods of proper quality is governed by applicable Ukrainian law and current lists of cases where Goods of proper quality are not subject to return or exchange (where established by regulation).
2. General requirements include preserving marketable appearance, consumer properties, seals, labels, packaging, having a payment document (where applicable), and complying with statutory time limits.
3. For chemical Goods, specific procedures may take packaging integrity and safety requirements into account; detailed rules are published in the “Returns” or “Exchange” section on the Website and may not reduce consumer rights below the statutory minimum.

13. Limitation of the Company’s liability

1. The Website is provided on an “as is” basis regarding uninterrupted availability (maintenance, updates, force majeure).
2. The Company is not liable for crop losses or direct or indirect damages arising from improper use of the Goods, disregard of instructions, climatic or soil factors, or third-party actions — within the limits permitted by Ukrainian law.

14. Personal data and cookies

1. Personal data processing is carried out in accordance with the Privacy Policy and applicable Ukrainian law.
2. Use of cookies and analytics follows the Website settings and/or the cookie banner notice (where available).

15. Export and international buyers

If the Website or communications provide contacts for international orders (for example, an Asia sales desk), such sales are governed by separate commercial terms, as well as customs and sanitary requirements of the destination country; these Terms apply to the extent they do not contradict such agreements.

16. Force majeure

The parties are released from liability for partial or full non-performance caused by force majeure as defined under Ukrainian law, for the duration of those circumstances.

17. Inquiries, claims, pre-trial procedure

1. Inquiries may be sent to sales@dunger.com.ua, brv@dunger.com.ua, and/or through on-site forms, stating the subject and order details.
2. Claims are reviewed within 30 calendar days, unless a different period is required by law or agreed separately.

18. Governing law and jurisdiction

1. These relationships are governed by the laws of Ukraine.
2. Disputes not resolved amicably are referred to the courts of Ukraine under applicable jurisdictional rules; consumer disputes are subject to the Law of Ukraine “On Consumer Protection”, where applicable.
